Changes ahead to accredited investor definition and performance fees (ThinkAdvisor)

The SEC will seek rule changes that will allow retail investors greater access to private markets. On the table are new ways for individuals to qualify as an accredited investor and giving investment advisers the ability to charge performance fees in retail funds by permitting new structures of regulated funds, multiple share classes and more frequent asset repurchases. FrontLine’s Founder and President Amy Lynch comments that allowing performance fees to be charged in retail funds signifies a big change, especially should the SEC lower the thresholds or eliminate them altogether. She believes the SEC is considering allowing performance-based fees on accounts either regardless of AUM or if the client is deemed an accredited investor, which is a lower standard. In line with its deregulatory agenda, she expects the SEC to require additional disclosures to go with any changes to performance fees while expanding the list of designations to qualify as an accredited investor.
